1. Business purpose and relationship to transportation contracts
1.1 The website provides information, enquiry functions and document tools for commercial freight activity. Access does not itself confirm capacity, establish credit, approve a carrier or create a transportation booking. A service description identifies a possible service category, not a promise that every shipment is accepted.
1.2 Transportation obligations, charges, claims and responsibility are governed by the applicable accepted agreements and mandatory law. These website-use provisions do not override a signed transportation contract. Material terms must be presented through a legally appropriate acceptance process before reliance upon them.
2. Authority and accurate information
2.1 A user acting for an organisation shall have authority for the action taken and provide accurate information relevant to it. Do not use another person’s identity, authority number, documents or signature without permission. Correct a material error promptly through a verified contact.
2.2 An enquiry from an employee does not necessarily establish authority to execute a guarantee, waive substantial rights or accept a different legal entity’s obligations. VEXO may request appropriate evidence of authority before relying on such an instruction.
3. Acceptable use
3.1 Do not introduce malicious code, attempt unauthorised access, interfere with availability, harvest confidential records, impersonate another business or use the website to facilitate cargo theft or payment diversion. Do not submit unlawful content or documents you lack authority to provide.
3.2 Reasonable use of public information and legitimate reporting of a suspected issue are distinct from unauthorised intrusion. No provision prohibits legally protected activity or a disclosure required by law. Access restrictions shall be applied consistently with applicable rights and existing contractual obligations.
4. Accounts and future portals
4.1 Any future account service will require appropriate registration, authentication and permission controls. Users shall safeguard their credentials, limit access to authorised personnel and promptly report suspected compromise. Shared or reassigned accounts can undermine attribution and should be managed under an agreed access process.
4.2 The website does not provide a connected customer or carrier portal. Displaying an access link is not evidence that an account exists, that tracking is live or that payment services are operational. Separate service terms may apply when those functions are introduced.
5. Quotes, estimates and operational statements
5.1 Rates, capacity and timing require shipment-specific review and written confirmation. Forecasts, sample data and illustrations are not evidence of a completed or guaranteed transaction. A change in cargo, dimensions, route, date or handling may require a revised quotation.
5.2 Users shall not rely on an unconfirmed website estimate as authority to incur a third-party commitment on VEXO’s behalf. A guarantee and its remedy must be expressly agreed by an authorised representative. No online description authorises unsafe or unlawful performance.
6. Documents, downloads and signatures
6.1 Users shall review generated BOLs and other documents for factual accuracy and suitability before use. Preserve executed originals and record later amendments. Do not insert a third party’s signature or treat document generation as proof of a physical event.
6.2 Electronic execution is governed by the identified agreement, the stated consent and applicable law. An applicant-signed copy does not imply VEXO countersignature. PDFs and email copies may contain confidential information; users are responsible for selecting recipients they are authorised to receive it.
7. Intellectual property and submitted material
7.1 VEXO’s branding and original website materials may not be used to impersonate VEXO or imply an unauthorised endorsement. Rights in third-party materials remain with their owners. A download link does not convey a right to publish confidential records or use another party’s trademarks misleadingly.
7.2 A user supplying material permits handling necessary to evaluate and perform the requested business purpose, subject to applicable confidentiality and privacy obligations. This provision is not an unrestricted licence to sell submissions, use them in advertising or publish them publicly.
8. Third-party services
8.1 Separate providers may operate carriage, storage, customs, insurance or technology services. Their role and applicable terms must be identified for the transaction. A link does not make VEXO responsible for all activities of the destination or eliminate duties VEXO has actually undertaken.
8.2 Users should verify the destination before entering credentials or documents. A provider’s limitation or release must not be assumed incorporated merely because a general link appears on the website; the governing agreement and applicable law determine incorporation.
9. Availability, correction and reliance
9.1 Website functions can be interrupted or unavailable. An error or an unavailable-service message should not be treated as a successful submission. Retain confirmation references and contact VEXO through an established method when a time-sensitive matter cannot be completed online.
9.2 VEXO may correct inaccurate content and address security or operational issues. A correction does not silently amend an executed agreement or erase a previous record that must be retained. No guarantee of uninterrupted availability, error-free operation or compatibility with every device is made by these terms.
10. Liability and mandatory rights
10.1 Website information does not create an unlimited undertaking to prevent cargo loss, commercial loss or third-party misconduct. Any enforceable liability allocation for a transaction is the allocation in the applicable accepted agreement. These terms do not add a new monetary cap to an unfilled schedule.
10.2 Nothing excludes liability or rights that cannot lawfully be excluded, nor does it immunise fraud, wilful misconduct or another non-excludable responsibility. The existence of a disclaimer does not replace reasonable care in performing an obligation VEXO actually assumes.
11. Suspension, changes and accrued obligations
11.1 VEXO may suspend access where reasonably necessary to address abuse, security risk or legal requirements, subject to applicable law and existing obligations. Where practical, the affected party should receive enough information to use an appropriate alternative without compromising security.
11.2 Future changes shall identify the revised version and use an appropriate acceptance process when required. A passive website update does not impose retroactive fees, waivers, arbitration or broader data-use permission. Accrued rights and required records remain governed by the applicable transaction and law.
12. Disputes and notices
12.1 A signed agreement’s dispute procedure controls disputes within its scope. These website terms do not replace arbitration in a VEXO master agreement with a separate court-only provision. Where no validly accepted forum term applies, the governing law determines the available forum.
12.2 Send ordinary website enquiries to dispatch@vexologistics.com. Formal service of process and contractual notices must follow applicable legal and agreement requirements. A dispatch message, contact form or automatic receipt is not necessarily proof that formal service has occurred.
